1.2 Accurate Representation

When requesting services, you represent and warrant that:

• • You are the rightful owner of any watch submitted for service or have proper authorization from the owner
• • The watch is not stolen, counterfeit, or obtained through illegal means
• • You have disclosed all known defects, modifications, or relevant history of the timepiece
• • The information you provide about yourself and the watch is accurate and complete

1.3 Prohibited Activities

You agree not to engage in any of the following activities:

• • Attempting to defraud or deceive us or other users
• • Submitting counterfeit watches for authentication or service
• • Misrepresenting the origin, authenticity, or condition of timepieces
• • Interfering with or disrupting our website, services, or business operations
• • Accessing our systems without authorization or in violation of security measures
• • Using automated systems or software to extract data from our website
• • Engaging in any conduct that damages our reputation or business interests

1.4 Indemnification

You agree to indemnify, defend, and hold harmless Orologi Studio, its owners, employees, and representatives from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your violation of these terms, your use of our services, or your infringement of any rights of third parties.

2.1 Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. While we strive for excellence, we make no warranties, express or implied, regarding:

• • Uninterrupted or error-free operation of our website or services
• • The accuracy, reliability, or completeness of information provided
• • Results that will meet your expectations in all circumstances

2.2 Limitation of Liability

To the maximum extent permitted by applicable law, Orologi Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• • Loss of profits, revenue, or business opportunities
• • Loss of use or data
• • Emotional distress or diminution of sentimental value
• • Business interruption
• • Cost of substitute services

Our total liability for any claim arising from our services shall not exceed the amount you paid for the specific service that gave rise to the claim.

2.3 Service Limitations

You acknowledge and accept that:

• • Watch repair involves inherent risks, and not all issues can be foreseen or prevented
• • Aging or deteriorated components may fail despite proper servicing
• • Exact color matching for refinishing may not always be achievable
• • Water resistance cannot be guaranteed indefinitely and requires regular testing
• • Some vintage or rare watches may have limited parts availability
• • Pre-existing damage or modifications may affect service outcomes

2.4 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government actions, pandemics, natural disasters, labor disputes, supply chain disruptions, or failures of third-party service providers.

3.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

3.2 Jurisdiction

Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Limassol, Cyprus. You irrevocably consent to the jurisdiction and venue of such courts and waive any objection to the inconvenience of such forum.

3.3 Dispute Resolution Process

Before initiating formal legal proceedings, both parties agree to:

• • Attempt to resolve disputes through good-faith direct negotiation
• • Provide written notice of the dispute with specific details
• • Allow a reasonable period of at least 30 days for resolution attempts
• • Consider mediation by a mutually agreed neutral third party if direct negotiation fails

3.4 Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, it shall be severed from these terms. The validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

3.5 Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Orologi Studio regarding the subject matter herein and supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral.

3.6 No Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Orologi Studio.
